General Terms of Use

IN A NUTSHELL"). This Site and any of the services provided by RETIREMENT IN A NUTSHELL
in connection with this Site (the "Services") are being provided to you expressly
subject to these Terms of Use. Please read these Terms of Use carefully. By accessing
this Site you agree to be bound by these Terms of Use. "Services" under these Terms
of Use include cash flow and financial planning services for registered investment
advisors and financial planners.
Copyrights/Trademarks/Restrictions
Use on all of the pages and screens on the Site are owned and controlled by RETIREMENT
IN A NUTSHELL, except as otherwise expressly stated, and are protected by U.S. copyright
laws and international treaties. The copyrighted materials on the Site include,
but are not limited to, the text, design, software, images, graphics, source code,
and the content on the Site. You are authorized to view the information available
on the Site for your informational purposes only. You may download copyrighted materials
for your personal or client related business purposes only. You acknowledge that
you do not acquire any ownership rights by downloading copyrighted material. Except
as provided in the Subscription and Use Agreement, you may not copy, display, distribute,
transfer, link to, reproduce, license, frame, alter, create derivative works of
or republish all or any portion of the Site, with the exception of reports specifically
intended for use with advisor's clients, for any commercial or public purpose without
RETIREMENT IN A NUTSHELL's prior written consent. You may not use, copy, display,
distribute, modify or reproduce any of the trademarks found on the Site except as
authorized in this paragraph. You may not use any of the RETIREMENT IN A NUTSHELL
trademarks as a link to the Site except pursuant to a written trademark license
agreement. The Site may contain links to Web sites controlled or offered by third
parties (non-affiliates of RETIREMENT IN A NUTSHELL). RETIREMENT IN A NUTSHELL hereby
disclaims liability for any other company's Web site content, products, privacy
policies, or security. In the event you choose to use the services available at
a linked site, you agree to read and adhere to the policies and terms of use applicable
to that site. In addition, any advice, opinions, or recommendations provided by
the linked site providers are those of the providers and not of RETIREMENT IN A
NUTSHELL. Your participation in any linked site, including payment for and the delivery
of goods or services, is based solely on the agreement, if any, between you the
linked site provider.
Registration Information
You may be invited to register at the Site to help us tailor the Services for your
personal and business financial needs and to alert you to other products and services
for you and/or your business. In registering for the Services, you agree to provide
accurate, true, current, and complete information about you and/or your business
as requested by the registration screens. The subscription is only for the use of the
program and the reports generated by the person in whose name the account was established
or their administrative assistant. Any sharing of passwords or use of the program by
other professionals is strictly prohibited.As a convenience to you, a profile for
you and/or your business may be created based on the registration information that
you provide. This profile and any registration information you provide will be protected
as described in our Privacy Policy.

THE SERVICES ARE OFFERED ON AN "AS IS," "WHERE IS" AND "WHERE AVAILABLE" BASIS WITH
NO WARRANTY OF ANY KIND-WHETHER EXPRESS, IMPLIED OR STATUTORY-INCLUDING, BUT NOT
LIMITED TO, WARRANTIES OF TITLE OR THE IMPLIED WARRANTIES OF MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE. THIS DOES NOT AFFECT THOSE WARRANTIES WHICH ARE
INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO
THIS AGREEMENT. YOU ACKNOWLEDGE THAT NEITHER RETIREMENT IN A NUTSHELL, ITS AFFILIATES
NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR
LICENSORS WARRANT THAT THE SERVICES OR THE SITE WILL BE UNINTERRUPTED OR ERROR FREE;
NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF
THE SERVICES OR THE SITE, OR AS TO THE TIMELINESS, SEQUENCE, ACCURACY, RELIABILITY,
COMPLETENESS OR CONTENT OF ANY INFORMATION, SERVICE, OR MERCHANDISE PROVIDED THROUGH
THE SERVICES AND THE SITE. RETIREMENT IN A NUTSHELL DOES NOT ENDORSE PRODUCTS OR
SERVICES APPEARING ON LINKED SITES OR PURCHASED VIA LINKED SITES. (THIS DOES NOT
AFFECT ANY MANUFACTURER'S WARRANTIES THAT THE PROVIDERS OF THE LINKED SITES OTHERWISE
OFFER.) EXCEPT AS SPECIFICALLY PROVIDED IN THIS AGREEMENT OR WHERE THE LAW REQUIRES
A DIFFERENT STANDARD, YOU AGREE THAT RETIREMENT IN A NUTSHELL IS NOT RESPONSIBLE
FOR ANY LOSS, PROPERTY DAMAGE OR BODILY INJURY, WHETHER CAUSED BY ACCESS TO OR USE
OF THE SERVICES OR THE SITE. TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE
LAW, RETIREMENT IN A NUTSHELL WILL NOT BE RESPONSIBLE TO YOU OR ANY THIRD PARTY
CLAIMING THROUGH YOU FOR ANY DIRECT, INDIRECT, SPECIAL OR CONSEQUENTIAL, ECONOMIC
OR OTHER DAMAGES ARISING IN ANY WAY OUT OF THE INSTALLATION OR USE OF THE SERVICES,
THE SITE, ANY ON-LINE SERVICES OR INTERNET BROWSER SOFTWARE, INCLUDING LIABILITY
ASSOCIATED WITH ANY COMPUTER VIRUSES WHICH MAY INFECT YOUR COMPUTER SYSTEM.
General
RETIREMENT IN A NUTSHELL reserves the right to modify these Terms of Use at any
time without notice, but the most current version of the Terms of Use will always
be available to you by clicking on the link at the bottom of the Site. If you find
the Terms of Use unacceptable at any time, you may discontinue your use of the Services.
By continuing to use the Services after the date of any change to these Terms of
Use, including accessing the Site, you agree to be bound by the rules contained
in the most recent version of this Agreement. These Terms of Use constitute a contract
between you and RETIREMENT IN A NUTSHELL governed by the laws of the State of California,
with the exception of its conflicts of laws provisions.
Privacy
We understand the need to safeguard your information and records from unauthorized
use and disclosure. Please see the RETIREMENT IN A NUTSHELL "Privacy Policy".
Indemnification
You agree to defend, indemnify and hold harmless RETIREMENT IN A NUTSHELL, its affiliates
and their respective directors, officers, employees and agents from and against
all claims and expenses, including attorneys' fees, arising out of your violation
of these Terms of Use or misuse of the Service or this Site, including such violation
or misuses conducted by your employee or agent, if applicable.
Subscription Purchase Options
There are two automatically recurring subscription options, annually or monthly. When you
select "Start Trial Today" on the Retirement in a Nutshell website, you will be directed to
registration pages where you will enter your personal information and display preferences
for the reports Nutshell produces. There is a payment page where you will be asked to enter
your credit card information. Once you've completed the registration steps, your credit card
information is securely transmitted to Authorize.Net, a nationally recognized and compliance
certified, card payment processing service. Retirement in a Nutshell discards your credit card
information after the transaction has completed but does retain the last four digits of your
card number for reference to your purchase. Once your registration and purchase are completed,
your free trial period will begin. Your credit card will be charged the monthly or annual
subscription amount beginning the next calendar day following your free trial expiration.
If you decide to cancel your subscription before the free trial expires, you may do so by sending
an email request to info@retirementinanutshell.com. Your request must include your name and the email
address you used for registering the account. Retirement in a Nutshell will have our credit card
processor cancel any further charges to your credit card account. If you do not notify Retirement
in a Nutshell of your decision to cancel your subscription in the manner specified, your card will
be charged the recurring monthly or annual amount that was specified on the payment page at the
time you registered. Once your subscription begins and charges have been applied to your credit
card, the transaction is final and there will be no refunds available for the processed
charges. After the expiration of the free trial period, if you wish to cancel your subscription, you
must do so by sending an email request in the manner specified above. The charges for the next
monthly or annual billing cycle will be discontinued. You will continue to have access to the
Program and all of its functions through the remainder of your current billing cycle. During
this period, you may prepare as many plans for as many clients as you desire.
We reserve the right to offer discounted subscription pricing to various broker/dealers, companies,
firms, or groups of advisors. When you register and choose your firm, any discounts for that firm
will be displayed. If you have any questions about pricing please call our toll free number. The
cost of the monthly installment method will be greater than the annual payment option to offset
the additional processing costs of the credit card payments. The specified subscription fee will
automatically be charged to your credit card at the end of the current monthly or annual subscription
cycle. If you do not want to renew your subscription at the end of the current monthly or annual
cycle, you must notify Retirement in a Nutshell in the manner specified above before the renewal
date. After renewal charges have been processed, you will continue to have full use of the Program
for the remainder of the billing cycle but no refunds will be made once charged. You agree to provide
us with updated credit card information if the card expires or is rejected for some other reason.
We reserve the right to adjust the subscription prices for new subscribers at any time. We may only
adjust the pricing for existing subscribers at the end of their current subscription cycle and after
giving email notice to them at the address they used to register their account. We also reserve the
right to change Broker/Dealer, company or group specific discounts on the same basis.
